Commercial Lawyer - US

About Sprintlaw (UK) Ltd

Sprintlaw is a fast-growing legal services company on a mission to change the way legal services are delivered to startups and small businesses.

We started in Australia in 2017 and have since grown into an international business, expanding into the UK and helping tens of thousands of startups and small businesses with their legal needs.

Now, we’re coming to Arizona.

We’ve built Sprintlaw around making legal services simpler, more accessible and more affordable. We use technology, fixed-fee pricing and streamlined processes to give small businesses a better legal experience.

Our clients range from early-stage founders and local businesses through to fast-growing technology companies. We help them with the legal work businesses regularly need, including company formation, corporate matters, commercial contracts, intellectual property, employment, fundraising, privacy and online terms.

We run Sprintlaw more like a technology startup than a traditional law firm, with customer experience, creativity and finding better ways of doing things at the core of how we operate.

Sprintlaw in Arizona

Arizona is the next chapter for Sprintlaw.

We’ve chosen Arizona because its approach to Alternative Business Structures closely aligns with what we’ve been building internationally for years: using technology, new business models and great lawyers to make legal services more accessible to businesses.

We’re currently seeking approval from the Arizona Supreme Court to operate as an Alternative Business Structure in Arizona. We don’t currently operate as a law firm in Arizona and won’t provide legal services through the proposed ABS unless and until the relevant approval has been granted.

We’re now starting to build our team in Arizona in anticipation of approval, and we’re looking for a commercial lawyer who wants to join us at an early stage.

As one of our first lawyers in Arizona, you’ll have the opportunity to get involved in how we set up and develop our legal services, processes and ways of working as the team grows.

The Role

We’re looking for an Arizona-qualified lawyer with around 2–4 years of corporate and commercial experience to join our legal team.

Following ABS approval and commencement of our Arizona legal-services operation, the role will involve working directly with startups and small businesses across a broad range of corporate and commercial work, including drafting and reviewing contracts, general corporate matters, startup fundraising, technology agreements, privacy and employment.

You’ll be responsible for managing your own projects and clients, with support from our Compliance Attorney where needed. We’re looking for someone who is comfortable handling standard corporate and commercial work independently, while knowing when to raise more complex or unfamiliar issues with the team.

Prior to ABS approval, the role will be limited to permitted preparatory, operational and other non-client legal-services activities as we prepare for launch.

This is a remote role and you can be based anywhere in Arizona. You’ll also work closely with our broader team as we develop our Arizona legal offering and processes.

What You’ll Work On

Following ABS approval, you may work on a broad mix of corporate and commercial matters, including:

• Drafting and reviewing commercial contracts
• Filing trademark applications
• Services, consulting and vendor agreements
• SaaS and technology agreements
• NDAs, licensing and intellectual property agreements
• Company formation and general corporate work
• Shareholder and corporate governance matters
• Startup fundraising and investment documents
• Website terms and online business agreements
• Privacy and data protection
• Employment and independent contractor agreements
• General commercial advice for startups and small businesses

We don’t handle litigation or disputes, so this is very much a transactional and advisory role.

You don’t need to be an expert in every area above. We’re much more interested in finding someone with strong corporate and commercial fundamentals who enjoys variety and wants to develop a broad practice.

Any client-facing legal-services responsibilities in this role will commence only after the required regulatory approval has been granted.

About You

You must be an active member in good standing of the State Bar of Arizona and authorized to practice law in Arizona.

You must also be based in Arizona, although you can live anywhere in the state. This is a remote role.

We’re looking for someone who:

• Has around 2–4 years of legal experience
• Has a good grounding in corporate and commercial law
• Is comfortable managing straightforward legal work independently
• Enjoys working directly with founders and business owners
• Gives practical, commercial advice
• Communicates clearly and can make complicated things easy for clients to understand
• Is organized and comfortable managing multiple projects
• Is comfortable working with technology
• Takes ownership of their work
• Enjoys working autonomously while still being part of a wider team

Experience working with startups, emerging companies or small businesses would be particularly useful.

Experience in technology, intellectual property, fundraising, privacy or employment would also be looked upon favorably.

We’re open to lawyers coming from private practice, in-house roles or a combination of the two.

Why Join Sprintlaw?

Our lawyers work across a high volume and variety of corporate and commercial projects for startups and small businesses. There are no billable hour targets or requirements to bring in your own clients, and you’ll have a high degree of autonomy in managing your work.

We’re a remote and flexible team, and have been operating this way across our international businesses for years.

You’ll also be joining at an early stage of our Arizona operations. As the team grows, there will be opportunities to take on more responsibility and get involved in developing our legal services and operations in Arizona.

You’ll get:

• $90,000–$110,000 USD base salary, depending on experience
• A fully remote role from anywhere in Arizona
• No billable hour targets
• No requirement to bring in new clients
• Flexible working arrangements
• Exposure to a broad range of corporate and commercial work following ABS approval
• Direct client contact following ABS approval and completion of applicable onboarding requirements
• Significant autonomy over your work
• The opportunity to be one of our early Arizona hires
• An international team across Arizona, Australia and the UK
• Health insurance
• Work-from-home allowance
• Coworking membership
• Generous sick leave benefits

We’re a fully distributed team and offer genuine flexibility around where and when you work. You can work remotely from anywhere in Arizona, with the option to use a coworking space if you prefer.

We don’t have fixed office hours, but you’ll need to be available for clients and the team when required and manage your workload and deadlines effectively.
